Terms and Conditions
These Terms and Conditions ("Terms") govern your access to and use of the website and online courses located at nadu.thinkific.com and any other websites, subdomains, mobile sites, mobile applications, content, products, or services offered by Nashville Artist Development University LLC ("Nashville Artist Development University," "NADU," "we," "us," or "our") (collectively, the "Service"). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Definitions
Learner / Student / You / Your: Any person who registers for or uses the Service.
Content: All course materials, videos, downloads, text, images, audio, recordings, assessments, instructor feedback, and other materials provided by NADU or its instructors.
User Content: Content you upload, submit, post, or otherwise provide to the Service.
Sales Page: The web page(s) used to market and allow purchase of NADU courses and services, including but not limited to the checkout URL(s) posted on nadu.thinkific.com or any other current marketing or sales URLs maintained by NADU.
2. Eligibility; Account Registration
You represent and warrant that you are at least the age of majority in your jurisdiction (or have parental/guardian permission if applicable) and are legally able to form binding contracts. Accounts are for a single individual; sharing account credentials is prohibited. Any attempt to share credentials may result in termination without refund.
3. Fees, Payment, One-Time Sale, and Installment Plans
One-time Purchase. All course and program purchases sold by NADU are one-time sales (not subscriptions). By purchasing a course you agree to pay the full purchase price.
Installment Option. NADU may, at its discretion, offer an optional installment payment plan (the “Payment Plan”) to allow buyers to pay the purchase price over a limited number of scheduled payments. Any Payment Plan is a convenience only and does not convert the purchase into a subscription. If you elect a Payment Plan, you remain obligated for the total purchase price (including any disclosed finance charge for splitting payments). Stopping participation or ceasing use of the program does not relieve you of your payment obligations. NADU may suspend access for nonpayment but may still pursue collection of unpaid balances and lawful collection remedies.
Disclosure and Documentation. If a Payment Plan is elected, NADU will provide you a written Retail Installment Addendum or other documentation prior to the date the first installment payment is due that discloses the cash price, down payment (if any), amount financed, total finance charge or time price differential (and APR-equivalent disclosure), payment schedule, and prepayment terms.
Refunds. Unless otherwise stated at the time of purchase, tuition/membership fees are non-refundable. If a refund policy is displayed at checkout that differs from these Terms, that policy applies as to that purchase.
4. Lifetime Access; Support Commitment; No Guarantee of Results
Lifetime Access. When you purchase a course or membership that advertises "lifetime access," NADU grants you a non-transferable, non-sublicensable right to access the course materials for as long as NADU continues to make the Program available on its platform. NADU reserves the right to discontinue, migrate, update, or modify course materials; when reasonably practicable NADU will provide access to substantially similar materials or notice of material changes.
Support Commitment. NADU will provide reasonable support and assistance for the duration of your access as described on the course sales page. Support obligations are subject to change and may be suspended if your access is terminated for cause.
No Guarantee of Success. NADU is confident in the quality of its programs and will provide training and support, but NADU does not guarantee any particular outcomes, earnings, employment, bookings, or success. Results depend on many factors including your prior experience, effort, market conditions, and external events. NADU cannot and does not guarantee that you will achieve specific professional goals.
5. Student Code of Conduct; Termination; Appeals
Conduct Standards. You must act respectfully and professionally. Prohibited conduct includes harassment, threats, hate speech, intentionally disrupting classes or community spaces, sharing other learners’ private information without consent, and promoting political or religious doctrine in a manner unrelated to course content or evaluation.
Enforcement. Violations may result in warnings, temporary suspension, permanent termination of access, or other remedies. NADU will provide notice of suspension/termination and the reason where practicable, except where immediate action is required for safety or legal reasons.
Appeal. If your access is suspended or terminated, you may appeal by emailing [email protected]within 14 days of notice. Appeals will be reviewed in NADU’s discretion.
6. Recording; Promotional Use
Live classes, coaching calls, meetings, and other program sessions (including audio, video, and chat) may be recorded by Nashville Artist Development University LLC ("NADU") for educational, training, quality-assurance, and promotional purposes. By registering for the Service and/or joining any session you expressly consent to such recording and grant NADU a perpetual, worldwide, royalty-free, transferable license to use, reproduce, edit, distribute, and publish recordings or excerpts (including your name, likeness, voice, image, statements, and contributions) in any media for any purpose, including marketing and advertising. You waive any claim for compensation arising from such use. If you do not consent to recording or promotional use, do not participate in sessions that are designated as recorded; contact [email protected] in advance to discuss alternatives (which NADU may or may not be able to provide).
Consent Required at Enrollment. As a condition to enrollment, you must affirmatively consent via a required checkbox at checkout or registration acknowledging your consent to recording and promotional use.
7. Intellectual Property
All Content is owned or licensed by NADU and protected by copyright, trademark, and other laws. NADU grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use Content solely for personal, non-commercial use. You may not reproduce, distribute, publicly display, perform, transfer, sell, license, create derivative works from, or otherwise exploit Content for any commercial purpose. Recording, screenshotting, downloading, or redistributing Content without NADU’s prior written permission is prohibited. By submitting User Content you grant NADU a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute and display such User Content in connection with the Service and NADU’s business.
8. Copyright Infringement / DMCA
If you believe content on the Service infringes your copyright, submit a DMCA notice to our designated agent at [email protected] or via the DMCA agent mailing address listed on our Legal/DMCA page. NADU will respond consistent with the Digital Millennium Copyright Act.
9. Third-Party Services and Links
The Service may contain links to third-party websites and services (including Thinkific Labs Inc., Stripe, PayPal, social networks, and analytics providers). Those third parties’ terms and privacy policies apply to your use of those services. NADU is not responsible for third-party practices or content.
10. Privacy
Our collection and use of personal data is described in our Privacy Policy, available at [link to Privacy Policy]. By using the Service you agree to NADU’s collection and use of personal data as described in that policy.
11. Security and Breach Notification
NADU uses commercially reasonable administrative, technical, and physical safeguards to protect personal information. In the event of a security breach affecting your personal information, NADU will notify affected persons and regulators as required by law.
12. Disclaimer; No Warranties
THE SERVICE AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. NADU DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THE MAXIMUM EXTENT PERMITTED BY LAW.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NADU’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNTS YOU PAID TO NADU IN THE 6 MONTHS PRIOR TO THE CLAIM. IN NO EVENT SHALL NADU BE LIABLE FOR INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.
14. Indemnification
You agree to indemnify NADU and its owners, officers, employees, and agents from claims, losses, liabilities, and expenses (including attorneys’ fees) arising from your breach of these Terms, your User Content, or your violation of law or third-party rights.
15. Arbitration; Class Action Waiver; Governing Law
Except for small claims court actions and requests by NADU for injunctive or equitable relief, you and NADU agree to resolve disputes by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration hearings shall take place in Maury County, Tennessee, unless the parties mutually agree otherwise. The arbitrator’s award may be entered in any court having jurisdiction. You and NADU agree that arbitration will be conducted only on an individual basis and you waive the right to participate in any class, collective, or representative proceeding. These Terms are governed by the laws of the State of Tennessee without regard to conflict-of-law principles.
16. Termination
NADU may suspend or terminate your access for violation of these Terms or for any other reason in NADU’s discretion. Surviving provisions include Intellectual Property, Disclaimers, Indemnity, Arbitration, and Limitation of Liability.
17. Severability; Assignment; Force Majeure; Entire Agreement
If a provision is held invalid, the remainder continues in effect. You may not assign these Terms without NADU’s consent; NADU may assign. NADU is not liable for delays caused by events beyond its control. These Terms and the Privacy Policy constitute the entire agreement between you and NADU.
18. Changes to Terms
We may revise these Terms; material changes will be posted with a new "Last Updated" date. Continued use after changes constitutes acceptance.
